Terms & Conditions of Service

Well North Enterprises CIC (trading as 360 Degree Society) 

These Terms & Conditions apply to all consulting, coaching and related services provided by Well North Enterprises CIC, trading as 360 Degree Society (“we”, “us”, “our”). 

1. Services 

We provide consulting, coaching and related professional services as agreed in writing with the client. The scope of work will be defined in a proposal, agreement, or statement of work. 

2. Fees & Payment 

  • All fees are quoted exclusive of VAT, which will be added where applicable. 

  • Clients must provide a valid purchase order where required. 

  • Invoices are payable within 30 days of the invoice date via BACS transfer. 

  • We reserve the right to charge statutory interest on overdue payments. 

3. Changes to Scope 

Fees are based on the agreed scope of work. If the scope, duration, or scale of work changes, fees may be revised by agreement. 

Additional costs (e.g. travel, materials, administration or third-party services) will be charged at cost unless otherwise agreed. 

Where we procure services on behalf of the client, an administrative fee of up to 20% may be added. 

4. Invoicing 

We may invoice in stages or in accordance with agreed milestones. Details will be set out in the project agreement. 

5. Cancellation 

If services are cancelled or rescheduled: 

Notice Period  Fee Payable 

14 working days or less  50% 

15–21 working days  25% 

More than 21 working days  No fee 

Costs already incurred may still be chargeable. 

6. Intellectual Property 

All intellectual property rights in our materials, tools, methods and content remain our property unless otherwise agreed in writing. 

Clients are granted a non-exclusive licence to use project outputs for their internal purposes. 

7. Communications & Publicity 

We may refer to completed work in general terms for promotional purposes unless otherwise agreed. Public communications involving both parties will be agreed in advance. 

8. Confidentiality 

Both parties agree to keep confidential information secure and not disclose it without consent, except where required by law. 

9. Liability 

Our liability for any claim arising from our services is limited to the fees paid for the relevant services, except where liability cannot legally be limited. 

10. Governing Law 

These terms are governed by the laws of England and Wales.
